By clicking this release link (the "Release") and submitting my footage, clips, videos, stills, photographs or other materials of rats and rat-related activity in New York City (collectively, the "Material"), I certify that I am the owner of the Material being submitted, including copyright, that Hollydale Productions, LLC ("Company") has requested permission to use and reproduce the Material in and in connection with that certain audiovisual project presently entitled "RAT CITY" and any and all advertising, marketing, and promotion in connection therewith (the "Documentary") and to exploit the Documentary throughout the world, in all forms of media now known or hereafter invented, in perpetuity. For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, I hereby grant to Company, and Company's licensees and assigns, a non-exclusive, royalty-free, and irrevocable license to use, reproduce, distribute, and display the Material in and in connection with the Documentary and any and all marketing, advertising and promotion thereof, all of which may be distributed and exploited in any and all media whether now known or hereafter devised, in perpetuity, throughout the world. Company shall have the unrestricted right to change, edit, add to or subtract from the Material as Company sees fit in its sole and complete discretion. For the avoidance of doubt, and notwithstanding my copyright ownership in and to the Material, Company shall be the sole and exclusive owner of the Documentary, and any and all elements (including the copyright therein) in any and all media throughout the world in perpetuity.

CONSIDERATION: I acknowledge that, solely in the event the Material is selected for use in the Documentary, as consideration for the rights granted hereunder, Company shall provide me with a one-time, all-in fee in an amount equal to Five Hundred Dollars ($500) (the "License Fee"). I acknowledge that by submitting the Material, I expressly waive any and all claims in connection therewith. For the avoidance of doubt, Company may but is not obligated to include the Material in the Documentary and I hereby waive any claim against Company for Company's failure to include the Material in the Documentary.

WARRANTY: I represent and warrant that: (i) I am the owner of the Material, including copyright, and have the full right, power, and authority to enter into this Agreement grant the rights granted hereunder, (ii) no further consent is required from any other person, or entity to enable Company to use the Material in accordance with the terms of this Release; (iii) Company's use of the Material will not subject Company to liability of any kind; and (iv) the use of the Material will not violate or infringe on any rights of any third party including without limitation trademark, trade name, copyright, privacy right, publicity rights, personal rights, and/or other rights of any third parties. I shall indemnify and hold harmless Company and its employees, agents, assignees, sub-licensees, affiliates, and successors from any and all claims, demands, or injury arising out of or related to my breach of any of the terms of this Release, or Company's use of the Material as set forth herein.

CREDIT: In the event my Material is used in the Documentary, and subject to the approval of the applicable distributor of the Documentary, and any standard policies, exceptions and exclusions of the foregoing, I will receive a credit in the end crawl of the Documentary. All aspects of the foregoing credit, and all other credits shall be in Producer's sole discretion. No casual or inadvertent failure to accord such credit shall be deemed a breach hereof.

I recognize and confirm that in the event of a failure or omission by Company constituting a breach of its obligations under this Release, whether or not material, the damage, if any, caused me is not irreparable or sufficient to entitle me to injunctive or other equitable relief. Consequently, my rights and remedies shall be limited to the right, if any, to obtain damages at law and I shall not have any right in such event to terminate or rescind this Release or any of the rights granted to Company hereunder or to enjoin or restrain the development, production, advertising, promotion, distribution, exhibition or exploitation of the Material or the Documentary.

Company shall have the right to assign Company's rights hereunder to any person, corporation, or entity, and the provisions hereof shall be binding upon me and my successors, licensees, assigns, heirs, executors, and administrators.
